Vendor Terms & Conditions

This Terms & Conditions is between www.SKYERT.com (SKYERT) and you the vendor (the individual or the entity or business you represent) who registered for the SKYERT Vendor services.

SKYERT is a registered business in New Zealand under the NZBN 9429047532595. SKYERT team is operating from New Zealand and Sri Lanka.

Requirements and Standards

You are at the legal age to perform a legally binding contract.

You acknowledge that you provide true information always for all the content we request and all your content that provide us comply with all applicable laws in your state and country.

Registering with www.SKYERT.com as a vendor allows you set up your vendor profile, set up products and sell products in the www.SKYERT.com platform.

Provide well enough details about your business upfront to the SKYERT for quick profile and product approvals such as below. You can attach relevant documents, descriptions, graphic representations, process diagrams, manuals, references, certifications when setting up the vendor profile.

  • Experience in the business.
  • Business registrations if available.
  • Frequency you will check the platform to fulfil orders (daily or on which days).
  • Frequency you will dispatch parcels for orders (daily on which days).
  • Delivery solutions you have arranged or partnered with.
  • Proof of successful test deliveries (included cities, countries expecting to deliver).

Products are the physical products, content, services or an entry that you set up in the platform to sell.

The products those are unable to sell in the www.SKYERT.com platform are:

  1. Weapons or their variations or any associated products including fake toys, symbols, associated accessories or any representation that can harm physically or mentally or kill beings or harm the planet.
  2. Drugs, intoxicating drinks, cigarettes or their variations or any associated products including fake toys, symbols, associated accessories or any representations that can harm physically or mentally or kill beings or harm the planet.
  3. Poisons and harmful chemicals or their variations or any associated products including fake toys, symbols, associated accessories or any representations that can harm physically or mentally or kill beings or harm the planet.
  4. Any products associated with slavery and human trafficking trades.
  5. Products from industries such as animal breeding for slaughter, fishing, meat, leather, pearls, down feather, animal parts or products including those components or products from trades those by any means harm living beings.
  6. Any illegal product to sell by the law of the country that you (the vendor) operate and by the countries you (the vendor) facilitate to deliver and also by the laws of Sri Lanka and New Zealand.

The products should be:

  • Quality tested, verified and guaranteed by you the vendor.
  • Products should not only visually appealing or trying to mimic but should be
    • Standard enough
    • Worth for the money
    • Usable by the buyer for the purpose for a justifiable number of occurrences or for a suitable period.

When setting up products in the platform you should:

  • Provide product name, description, applicable categories, product specifications, images, size guides, colour guides, comparisons, manuals, installation guidance accordingly so the buyer can understand the product, its size, colours, variations, its features, durability, quality and related details well enough to minimise order cancellations and returns without any misleading or false details.
  • Provide details such as certificates obtained, guarantee periods, warranty details, return and refund policies in the description when applicable.

You are responsible to update product stock availability in the platform and maintain enough stock to fulfil orders unless you use the SKYERT warehouse facility. You need to inform SKYERT to disable any specific product promotions or sales immediately if you are running out of the stock and should fulfil the already received orders for the product. SKYERT has the authorisation to disable the product if required at any stage.

Platform Activity and Customer services (orders, cancellations, returns, replacements)

You will respond to inquiries by SKYERT within 48 hours enabling SKYERT to reply promptly to any customer inquiry. This is except to special seasonal holidays those will either notify by SKYERT to you or notified by you to SKYERT.

You will update the parcel tracking details in the platform upon the dispatch and delivery of the parcel for an order.

You will stop dispatching the products for the cancellations. Cancellations are the orders cancelled by the customer within 4 hours of purchasing. Refunding the money back to the customer will be handled by SKYERT.

SKYERT will request the customer to return products to your address when a return occurs. SKYERT will not be liable to any damaged products or for any unsuccessful return deliveries to you.

Any replacements for orders should follow the same standards as processing a new order and packaging, dispatch and delivery should follow the same points discussed in the agreement.

SKYERT has the authority to disable any product based on client complaints, product quality issues, product delivery issues, high cancellations and returns.

Packaging and Delivery

You agree that you will dispatch and deliver the parcel earliest possible to the customer and update the tracking details promptly.

You will quality check the product before dispatch and make sure product is in good quality without any damage.

You will securely parcel the product and deliver in a trusted shipping method to minimise damages.

You will use good packaging solutions to keep the product safe during the delivery. SKYERT encourage using eco-friendly packaging solutions always.

You will not include any marketing materials or any content other than your product listings on the SKYERT platform and should not confuse the customer with external logos, brands, promotions, offers or any other material that is not related to the services to offer at the SKYERT platform.

Any marketing material or content to you will include in the parcel should obtain prior approval from SKYERT.

Platform Maintenance

SKYERT have authority to maintain, introduce, change or suspend features and services in the platform and not liable to inform or receive approvals from vendors.

Materials, Advertising and Marketing

You will not disclose any confidential or should be considered confidential content provided by us by any means and will return or destroy once the agreement terminates.

You can use the www.Skyert.com product link that you will get for each product you have set up in the platform to share with the community or buyers in order to share product details and direct traffic.

You are not authorised to use the SKYERT logo, name, service mark, commercial symbol, press releases, social media releases or any other sort of SKYERT content without prior written approval from SKYERT to promote a product or products, for events or any other purpose.

You will request SKYERT approval through the SKYERT contact details if you need our support or to join with us on any promotion or marketing activity or on any other plans associate with the products and the profile listed with SKYERT or with the functions of the SKYERT vendor profile and we are always keen to work together.

Agreement and Termination

You have read and well understand the SKYERT Service Agreement, Terms and Conditions and Privacy Policy prior entering into this agreement and prior providing or entering content and product details on to the platform.

This agreement is valid from the moment you tick and acknowledge the agreement to the moment the agreement is terminated by either part.

SKYERT have the rights to update the agreement any time. You are responsible to check the Agreement updates as a part of continuing the agreement with us.

The latest updated of the agreement is effective from the time it is published online unless a specific date it mentioned.

SKYERT would terminate this agreement and deny access to the vendor portal with or without providing further notice to you.

Misuse of SKYERT services, technology, platform, login, connection to servers, content or harm for the SKYERT name or brand due to your actions will lead for immediate termination of the agreement, disabling of the vendor profile, blacklisting of associated content and will lead to follow any legal obligations.

SKYERT is not bound to provide any reports, details or content associated to the vendor profile following the termination.

You need to provide minimum of 3 weeks’ notice prior termination and all the orders should be fulfilled by you and accepted by the customer by then and any outstanding cancellations and refunds should not be available to process by SKYERT. All the orders and refund should be finalized by then by the vendor.

You acknowledge SKYERT is not liable to pay any damages to you, vendors, customers, organizations, businesses, governments at any circumstances due to entering into the agreement with you or due to the termination other than at the standard cancellation and refund process.

Payments 

SKYERT has the authority to sell the product on any determined price, mark up and list it under sales, promotions, featured products or any applicable categorisation. SKYERT pay the amount set by you as the product price on the platform for each product sale.

SKYERT pay the taxes for the charges SKYERT keep on each sale and you are responsible to settle any taxes on your own on the earnings you receive from SKYERT due to product selling.

Payments those fulfil the payment release criteria below are transferred to the bank account every month end.

  • The sales passed the refund period which is given for the customer to refund are only applicable for the payment release.
  • Any amount refunded to the customer will be deducted by the SKYERT from the vendor account.
  • Minimum of 20NZD is hold in the vendor account always as a confirmation for business continuity with us and to recover from any pending cancellation and refunds at the termination of the agreement. Any remaining of 20NZD is released upon termination of the agreement.

These values can change time to time and you should check for the agreement updates regularly.

You will provide a minimum of 3 months’ time period to analyse and work on any payment discrepancies. This time period does not count the timelines and efforts with any 3rd party service providers that we have partnered with.

SKYERT have the full authorisation to withhold any payment if we identify that your actions has caused any disputes and raised risks for SKYERT until those are identified and settled. Please contact support@skyert.com for any queries regarding the agreement.
